  1. About these Terms

    These Terms of Service form a legally binding agreement between you and Robert Szabo trading as Auctralytix governing your access to and use of https://auctralytix.com, https://app.auctralytix.com, associated applications, dashboards, analytical outputs, email notifications and related services.
    By creating an account, using an invite code, purchasing or activating a paid plan, or otherwise using the Service, you agree to these Terms. If you do not agree, you must not use the Service. If you are an individual acting wholly or mainly outside your trade, business, craft or profession, you are a “Consumer”. If you use the Service for business or professional purposes, you are a “Business User”. Certain provisions apply differently to Consumers and Business Users.

    The operator's geographic business address must be displayed on the website's legal/contact information and will form part of this operator information once published. Auctralytix states that it is registered with the UK Information Commissioner's Office under registration number ZC141137. ICO registration is an administrative registration and does not constitute approval, accreditation or endorsement of the Service. Auctralytix is not authorised or regulated by the Financial Conduct Authority. The Service is designed as information and analytical software and does not provide investment advice, personal recommendations, brokerage, investment management, portfolio management or trade execution.


  3. Eligibility and accounts
    You must be at least 18 years old and legally capable of entering into a binding contract. You must provide accurate account information and keep your login credentials confidential. Accounts are personal to the registered user unless a written business plan expressly permits additional users. You must not share credentials, sell access, circumvent plan limits or permit unauthorised access. Registration may be invite-only. Invite codes may be single-use, time-limited, plan-specific and revocable. We may refuse, suspend or revoke an invite or account where reasonably necessary for security, abuse prevention, legal compliance or service integrity.


  4. Nature of the Service
    Auctralytix processes market data and produces TPO / Market Profile and related structural analytical outputs. Analytical values, boundaries, classifications and reference levels are produced by deterministic software logic from available data. AI models may be used to produce natural-language explanations of already-computed outputs. The Service describes observed market structure and historical or current market-data relationships. It is not designed to predict future prices, recommend transactions or tell you whether, when or how to buy, sell, hold, enter, exit, size or manage any position. The Service does not connect to your broker, does not execute orders, does not hold client money, does not manage assets and does not have access to your trading capital.


  5. No investment advice or recommendation

    Nothing in the Service constitutes or is intended to constitute investment advice, a personal recommendation, a trade signal, investment research recommending a transaction, an offer, solicitation or invitation to acquire or dispose of a financial instrument, or advice on the merits of any particular transaction. You must independently evaluate all information and, where appropriate, obtain advice from an appropriately authorised financial adviser. Your use of market information is entirely at your own risk and discretion.


  6. Market risk
    Financial markets are volatile and can result in substantial or total loss. Market structure, historical levels, classifications, statistical relationships and prior observations do not predict or guarantee future outcomes. Nothing in the Service reduces or transfers trading or investment risk. Cryptoassets may be especially volatile and may not be subject to the same protections as regulated investments. Auctralytix does not provide custody, exchange or dealing services in cryptoassets.


  7. Plans, entitlements and quotas
    Plan features, usage limits and supported instruments are those displayed at the time of purchase or activation, subject to these Terms. Plan limits are technical entitlements, not investment or performance promises. At the date of this draft, the intended plans include Free, Pro and Premium. Premium model allowances must be treated as separate allowances where the product specification provides separate counters. Unused units in one model pool are not transferable to another unless expressly stated. Scheduled-analysis limits refer to saved and active schedule slots as stated in the pricing page. A saved inactive schedule does not necessarily constitute an active scheduled run. We may introduce, remove or amend features prospectively for operational, legal, security or vendor reasons. For paid Consumers, material adverse changes will not remove statutory rights and will be communicated where required by law.

  8. Beta and experimental features
    Features identified as beta, preview, experimental, coming soon or limited release may be incomplete, unavailable, changed or withdrawn. You must not rely on a future feature merely because it is described on a roadmap. We will not represent an unimplemented payment, cancellation or refund feature as available. Any commercial guarantee applies only when explicitly activated and published.

  9. Fees, billing and renewal
    Paid plans, when activated, will be charged at the price and billing interval shown before checkout, plus applicable taxes. Where automatic renewal applies, the renewal basis must be shown before you order. Payment processing may be provided by Stripe or another payment service provider. We do not need to store complete payment-card numbers in order to administer a subscription, but we may receive payment identifiers, transaction status, billing metadata and other information from the payment provider. You authorise the payment provider to charge the payment method in accordance with the order you place. If a payment fails, access to paid features may be limited or suspended after any legally required notice.

  10. Consumer cancellation and statutory rights
    Nothing in these Terms limits any statutory right that cannot lawfully be excluded or restricted. UK Consumers entering a distance contract may have statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, depending on the legal character and performance of the Where you expressly request that a service begins during a statutory cancellation period, you may be required to pay a proportionate amount for service supplied before cancellation where the law permits. Where the supply is legally treated as digital content not on a tangible medium, statutory cancellation rights may cease only where the applicable conditions for express consent and acknowledgement are met. Any Auctralytix money-back guarantee is additional to, and does not replace, statutory rights. The separate Subscription, Cancellation & Refund Policy forms part of these Terms.

  11. Service availability and third parties
    The Service depends on internet connectivity, cloud infrastructure, market-data providers, AI providers, email services and other third parties. We do not warrant uninterrupted, latency-free or error-free operation. Market data may be delayed, unavailable, incomplete, corrected, stale or inconsistent across venues. Market-hours logic, venue selection and data-provider coverage may affect what is displayed. Third-party names and trademarks remain the property of their respective owners. References to a third-party provider do not imply endorsement.

  12. AI-generated explanatory content
    AI-generated text is produced for explanatory convenience and may contain omissions, hallucinations, transcription errors or ambiguous language. Structured engine-generated values take precedence over AI narrative where there is any inconsistency. You must not treat AI narrative as advice or an instruction. We may suppress, reject or remove AI output where automated or human controls detect prohibited or unsuitable language.

  13. Acceptable use
    You must comply with the Acceptable Use Policy. Without limitation, you must not: reverse engineer the Service except where law expressly permits; scrape or harvest data at scale; circumvent quotas or technical controls; resell or redistribute outputs as your own service; use the Service to produce or market unapproved investment recommendations; probe security without written permission; introduce malware; or infringe third-party rights.

  14. Intellectual property
    All rights in the Auctralytix software, interface, branding, original documentation, analytical presentation and proprietary implementation are owned by or licensed to Auctralytix. You receive only a limited, personal, non-exclusive, non-transferable and revocable right to use the Service in accordance with these Terms. No right is granted to extract, reproduce, train competing models on, commercialise or systematically redistribute Auctralytix output except where expressly agreed in writing.

  15. Suspension and termination
    We may suspend or terminate access where reasonably necessary because of non-payment, material breach, unlawful use, abuse, security risk, attempted circumvention, infringement, regulatory risk or discontinuance of the Service. Where practicable and legally appropriate, we will give notice and an opportunity to remedy. You may cancel a paid subscription using the cancellation method actually made available in the account or by contacting us where that method is offered. Cancellation does not automatically create a refund except where required by law or by the published Refund Policy.


  16. Disclaimers
    To the fullest extent permitted by law, the Service is provided on an “as available” basis. We do not guarantee the accuracy, completeness, timeliness, investment usefulness, profitability or fitness for any trading purpose of any market data, analytical output or AI narrative. No statement of historical accuracy, backtest performance or analytical consistency is a guarantee of future trading results.


  17. Liability - Consumers
    If you are a Consumer, we are responsible for losses you suffer that are a foreseeable result of our breach of these Terms or failure to use reasonable care and skill, subject to applicable law. We are not responsible for business losses suffered by a Consumer, including loss of profit, trading opportunity, revenue or business interruption. We do not exclude or limit liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or statutory consumer rights that cannot be excluded. Trading or investment losses resulting from your own decision to act or not act on information are not assumed by Auctralytix merely because you used the Service.


  18. Liability - Business Users
    For Business Users, to the maximum extent permitted by law, Auctralytix excludes all implied warranties and is not liable for loss of profit, revenue, business, anticipated savings, goodwill, data, opportunity or any indirect or consequential loss. Subject to liabilities that cannot lawfully be limited, Auctralytix's aggregate liability to a Business User arising out of or in connection with the Service in any rolling 12-month period shall not exceed the fees actually paid by that Business User to Auctralytix for the Service during that period.


  19. Indemnity for Business Users
    A Business User shall indemnify Auctralytix against third-party claims, losses and reasonable costs arising from that Business User's unlawful redistribution of the Service, infringement of intellectual-property rights, breach of the Acceptable Use Policy or use of Auctralytix output as if it were authorised investment advice or a regulated recommendation.


  20. Privacy
    Our Privacy Notice explains how personal data is processed. The Privacy Notice does not form a contractual warranty that no processing will ever change; material changes will be notified where required by law.


  21. Changes to these Terms
    We may amend these Terms to reflect legal, regulatory, security, product or operational changes. Material changes affecting paid Consumers will be notified in a durable or reasonably prominent manner where required. Changes will not retrospectively remove accrued statutory rights.


  22. Governing law and jurisdiction
    These Terms are governed by the law of England and Wales. If you are a Consumer resident elsewhere in the United Kingdom or another country, you may also benefit from mandatory protections of your home jurisdiction that cannot lawfully be excluded. The courts of England and Wales shall have jurisdiction, subject to any mandatory Consumer right to bring proceedings in another competent court.

  23. General
    If any provision is unenforceable, the remaining provisions continue in effect. A delay in enforcing a right is not a waiver. You may not assign your account or rights without our written consent; we may transfer our business or contract subject to applicable law and without reducing your statutory rights.
